Terms and Conditions

Effective: 8 October 2026Last updated: 8 October 2026

These Terms are a binding agreement between Oplyx Technologies, Sankhamul-10, Kathmandu, Nepal (Registration No. 368546/81/82; PAN 62237628) ("Oplyx", "we") and the business or person that creates an account or uses Oplyx POS ("you", "Customer"). Oplyx POS includes the website, admin dashboard, API, mobile app, QR ordering pages and related services (the "Service"). Our Privacy Policy is part of these Terms.

By creating an account, clicking "I agree", or using the Service, you accept these Terms. If you accept for a business, you confirm you have authority to bind it. If you do not agree, do not use the Service.

1. The Service

Oplyx POS helps restaurants manage tables, QR ordering, orders and kitchen tickets (KOT/BOT), billing, menus, inventory, customers and loyalty, reports and accounting records. Features available to you depend on your plan. We may improve, change or retire features; if we remove a paid feature in a way that materially harms you, we will give reasonable notice and a fair remedy (for example a pro-rata credit).

2. Accounts

  • You must be at least 18 and able to enter a contract under Nepali law.
  • Give accurate information and keep it current.
  • Keep credentials, QR login codes and API tokens secret. You are responsible for all activity under your account and for the actions of staff you invite. Tell us promptly at support@oplyxpos.com if you suspect unauthorised access.
  • The person who creates a Restaurant becomes its administrator and controls who has access and with what role.

3. Plans, fees and payment

  • Plans (Free, Basic, Premium, Platinum, Enterprise) and their limits (for example users, tables, dishes, customers) are as shown on our pricing page at the time you subscribe. Fees are in Nepali Rupees (NPR). Oplyx Technologies is registered for PAN and is not registered for VAT, so no VAT is added to our fees. Hardware and your own internet, tablets and printers are not included.
  • Paid plans are billed in advance for the term you choose (for example six or twelve months). Introductory or renewal discounts shown on the pricing page apply only as stated there.
  • Payment is currently arranged directly with Oplyx and made to Oplyx Technologies' bank account. We will issue an invoice for each payment. No payment gateway is built into the Service at launch. Billing questions: billing@oplyxpos.com.
  • Plan limits are enforced. If you reach a limit, you will be asked to upgrade before adding more. If a plan expires, we may restrict the account to Free-plan limits; we will not delete your data solely because a plan expired without first giving you 30 days' notice and a chance to export.
  • Renewal. Plans do not renew automatically. A plan renews only when you pay the renewal invoice. We will remind you before expiry.
  • Refunds. Fees are non-refundable except (a) where required by law, (b) as stated in section 12 (warranty) or section 13 (termination by us without cause), or (c) where you ask for your money back and give us 30 days' prior notice, in which case we refund the unused part of the prepaid term. The period you have already used is not refunded.
  • We may change prices for future terms with at least 30 days' notice. Changes do not affect a term you have already paid for.
  • Unpaid invoices may be suspended after notice. You are responsible for any collection costs permitted by law.

4. Your data

  • You own your data (menus, orders, customers, accounting entries, uploads). You give Oplyx a limited licence to host, process, back up and display it solely to provide and support the Service and as described in the Privacy Policy.
  • You are the controller of personal information about your diners, customers and staff, and Oplyx acts as your processor. You must have a lawful basis to collect it, give any notices required, honour your customers' requests, and only enter information you are allowed to hold. Do not collect sensitive information you do not need. If you record customer allergies or dietary needs, you are responsible for how that information is used in your kitchen.
  • Exports. You can export reports and data from the Service (for example PDF/Excel exports). You are responsible for exporting records you need before ending your account.
  • Account deletion is permanent. Using Settings → Delete Account by the only administrator of a Restaurant permanently deletes that Restaurant and all its data. We cannot restore it. Residual copies in backups are overwritten in the ordinary cycle.
  • Tax and statutory records are your responsibility. You must keep the sales, VAT and accounting records Nepali law requires for the period required. Deleting your account does not remove that obligation.
  • We may use aggregated, de-identified data that does not identify you or your customers to operate and improve the Service.

5. Acceptable use

You will not, and will not allow anyone to:

  1. break the law or use the Service for unlawful sales, money laundering or fraud;
  2. upload content that infringes others' rights, is defamatory or unlawful;
  3. access another Restaurant's data, probe or bypass security or plan limits, or reverse-engineer, scrape, copy or resell the Service;
  4. send malware, overload or disrupt the Service, or use automated tools (including AI agents) in a way that degrades it;
  5. share an account to avoid paying for additional users;
  6. use Oplyx names, logos or look-and-feel to suggest affiliation without permission.

We may suspend access to stop a violation or security threat, and will tell you why where we can.

6. QR ordering and your diners

  • Table QR codes are links. Anyone who has a table's QR code can open that table's menu and place an order. You are responsible for where QR codes are displayed and for confirming orders in the kitchen and at the counter.
  • The Service records orders and billing status. It does not process card or QR payments. Collecting payment from diners is your responsibility, using your bank's terminal or your merchant QR.
  • Prices, availability, allergen information, taxes and service charges shown to diners are set by you. You are responsible for their accuracy and for any dispute with a diner.

7. Taxes and compliance features

The Service includes tools such as VAT calculation, sales-book and VAT summary reports (for example Annex 5 and Annex 13 formats), ledger and invoice settings. These tools are provided to help you; they are not tax, legal or accounting advice, and Oplyx does not guarantee that any report or invoice meets every requirement of the Inland Revenue Department or any other authority at any time. You must review outputs, configure rates correctly, and confirm requirements (including any approval or registration required for billing software or electronic billing) with your accountant or the relevant authority.

8. Third-party services, hardware and integrations

The Service relies on third parties (for example hosting, database, sign-in, error monitoring, push notifications, image library) and on hardware you provide (tablets, PCs, ESC/POS thermal printers, network). Their availability and behaviour are outside our control, and some are governed by their own terms. Images from the Pexels library are subject to Pexels' licence. Printer connectivity depends on your local network.

API tokens and AI connections. If you create an API token or connect an AI assistant or other tool through OAuth, you authorise it to act within the permissions you gave. Actions it takes (including changes to menus, prices, inventory or orders) are treated as your actions. Review and revoke tokens regularly in Settings. Oplyx is not responsible for third-party tools you connect.

9. Our intellectual property

Oplyx and its licensors own the Service, software, designs, documentation and brand, including the names Oplyx and Oplyx POS. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription for your internal restaurant operations. You may not use our trademarks without written consent. If you give us feedback or suggestions, we may use them freely without obligation to you.

10. Confidentiality

Each party will protect the other's non-public information that is marked or reasonably understood as confidential, use it only for this agreement, and disclose it only to those who need to know, or as the law requires.

11. Availability and support

We aim to keep the Service available and to fix defects promptly, but we do not promise uninterrupted or error-free operation. We may perform maintenance and will try to schedule it at low-traffic times. Support channels and hours depend on your plan (for example chat and call support on Premium, priority support on Platinum). Enterprise customers may have a separate written SLA. Offline mode and printing depend on your equipment and network.

12. Custom deployments and warranty

If we agree a custom build, onboarding, training or milestone-based deployment with you, the scope, price and schedule are set out in a written quotation or order form that is part of these Terms. Where a quotation includes a post-launch defect-fixing period (for example 30 days), we will fix reproducible defects in the delivered software during that period at no extra charge. This does not cover problems caused by your changes, hardware, network, third-party services or misuse. Except as stated, the Service is provided "as is" and "as available" and, to the extent the law allows, we disclaim all other warranties, including fitness for a particular purpose and non-infringement.

13. Term and termination

  • These Terms apply from acceptance until ended.
  • You may stop using the Service or cancel at any time; fees already paid for the current term are not refundable except as stated in section 3.
  • We may suspend or end your access if you materially breach these Terms and do not fix it within 7 days of notice (or immediately for serious or repeated violations, security risk or legal requirement), or on 30 days' notice for any reason, in which case we refund the unused part of any prepaid fees.
  • After termination you may export your data for 30 days, after which we may delete it. Sections that by nature should survive (payment obligations, IP, confidentiality, liability limits, governing law) survive.

14. Limitation of liability

To the fullest extent permitted by Nepali law:

  • Oplyx is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business or data, arising from use of the Service;
  • Oplyx is not liable for losses caused by your hardware, internet or power outages, third-party services, incorrect configuration, unauthorised access caused by your failure to protect credentials, or your reliance on reports without review;
  • Oplyx's total liability for any claim relating to the Service is limited to the fees you paid to Oplyx for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.

15. Indemnity

You will defend and indemnify Oplyx against third-party claims, losses and reasonable costs arising from your data or content, your breach of these Terms or the law, your handling of diner or customer information, or your tax and regulatory compliance. We will tell you promptly of any claim and reasonably cooperate at your cost.

16. Changes to the Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the dashboard. If you do not agree, you may stop using the Service before the change takes effect; continued use afterwards means you accept.

17. Governing law and disputes

These Terms are governed by the laws of Nepal. The parties will first try to resolve any dispute in good faith by negotiation for 30 days. If unresolved, the dispute will be submitted to the courts of Kathmandu District, which also have jurisdiction for urgent relief. Related Nepali legislation, including the Electronic Transactions Act, 2063 (2008), the Contract Act, 2056 (2000) and the Consumer Protection Act, 2075 (2018), applies where relevant.

18. General

  • Entire agreement: these Terms, the Privacy Policy and any signed order form or quotation are the whole agreement; an order form prevails on conflict about its subject.
  • Assignment: you may not transfer your rights without our written consent; we may assign to an affiliate or successor.
  • Severability / waiver: if a provision is unenforceable the rest continues; failure to enforce is not a waiver.
  • Force majeure: neither party is liable for delay caused by events beyond reasonable control (natural disaster, power or internet failure, strikes, government action).
  • Notices: to you at your account email; to us at legal@oplyxpos.com and the address below.
  • Language: these Terms are in English; a Nepali translation, if provided, is for convenience and the English text prevails.
  • Independent parties: nothing creates a partnership, agency or employment. Oplyx POS is a product of Oplyx Technologies only and is not affiliated with any other company.
